The buyer and seller can agree on the final scope of the transaction, including any existing prototype, source code, domain names, and related intellectual property that are available for transfer. Reasonable transition assistance may also be discussed as part of the agreement. The intended goal is to give the buyer a foundation to continue developing CaseRoom AI into a collaborative AI platform for healthcare teams, initially focused on oncology and complex patient cases. Any intellectual property transfer, exclusivity, warranties, and post-sale support will be defined in a written agreement.
